1. Description of Service
1.1 General Overview. The Tradury (“The Tradury,” “we,” “us,” or “our”) provides an online educational platform and community focused on financial markets, including equities, options, cryptocurrency and digital assets, foreign exchange, and low-priced or micro-capitalization securities (the “Service”). The Service may include, without limitation: (a) private and public forums, chatrooms, and group channels hosted on Discord or similar platforms; (b) alerts, commentary, watchlists, and educational content relating to financial markets; (c) classes, webinars, written publications, and other learning resources, including the website at tradury.com; (d) one-on-one instructional coaching sessions; and (e) access to moderators, community leaders, or representatives who may provide informal commentary.
1.2 Educational Purpose. The Service and all content provided are strictly for educational and informational purposes. The Tradury is not registered as an investment adviser, broker-dealer, commodity trading advisor, or futures commission merchant, and does not provide personalized investment, financial, tax, or legal advice.
1.3 Coaching Sessions. One-on-one coaching sessions are instructional in nature and are limited to general education regarding trading mechanics, terminology, platform operation, charting methods, risk-management frameworks, and trading psychology. Coaching does not include personalized investment recommendations, suitability analysis, portfolio review, or discretionary management of any account. Any instrument referenced during a coaching session is presented solely as a teaching example.
1.4 No Account Access. The Tradury will never request, and you must never provide, brokerage or exchange login credentials, application programming interface keys carrying trading or withdrawal permissions, private keys, wallet seed phrases, or multi-factor authentication codes. Any person requesting such information, including any person purporting to represent The Tradury, should be treated as fraudulent and reported to us immediately.
1.5 Scope of Access. The Service is intended solely for individual users who are members of The Tradury community. Redistribution, commercial exploitation, or resale of the Service or its content is prohibited without prior written authorization.
1.6 Right to Modify. The Tradury reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability.
2. Use of Service
2.1 Eligibility. By accessing or using the Service, you represent and warrant that you: (a) are at least eighteen (18) years of age; (b) have full legal capacity and authority to enter into and be bound by these Terms; and (c) are not prohibited by law, regulation, or prior restriction from using the Service.
2.2 Compliance. You agree to comply with all applicable federal, state, and local laws, including securities laws, SEC regulations, FINRA rules, and, where applicable, CFTC regulations governing commodity interests and retail foreign exchange transactions.
2.3 Prohibited Conduct. You shall not: (a) transmit unauthorized commercial communications (spam, promotions, solicitations); (b) upload, disseminate, or introduce malicious code or harmful software; (c) employ automated means (bots, spiders, scrapers) to access the Service; (d) harass, threaten, defame, or abuse other members or staff; (e) post content that is unlawful, obscene, discriminatory, or objectionable at The Tradury’s sole discretion; (f) solicit or disclose personally identifiable information of other members without explicit consent; (g) use the Service to engage in securities fraud, insider trading, or market manipulation, including coordinated promotion of any security or digital asset for the purpose of influencing its price; (h) solicit or accept funds from other members for management, pooled investment, or copy-trading arrangements; (i) hold yourself out as a licensed financial professional or provide personalized investment advice to other members; or (j) disrupt, disable, or interfere with the Service or its supporting infrastructure.
2.4 Consequences of Violation. Violation of this Section constitutes grounds for immediate suspension or termination of access. The Tradury may also pursue civil or criminal remedies, where applicable, and may report suspected market manipulation or securities violations to the appropriate regulatory or law enforcement authorities.
3. Electronic Records and Member Acknowledgement
3.1 Electronic Acceptance. By reacting to the designated Terms & Conditions message in The Tradury Discord server, you consent to transact electronically and agree that such reaction constitutes a legally binding electronic signature under the U.S. E-SIGN Act and New Jersey’s Uniform Electronic Transactions Act.
3.2 Paper Copies and Withdrawal. You may request a paper copy of these Terms by contacting us. You may withdraw consent to electronic records by emailing The Tradury. Withdrawal will terminate your access to the Service.
3.3 Binding Agreement. A reaction to the Terms message constitutes acceptance of these Terms and the legal equivalent of a handwritten signature.
3.4 Continued Use. Continued access to or use of the Service following any update constitutes acceptance of revised Terms.
4. Intellectual Property Rights
4.1 Ownership. All content and materials provided through the Service, including but not limited to written materials, videos, trade strategies, educational resources, logos, designs, trademarks, service marks, and software code (collectively, “IP Content”), are the sole property of The Tradury or its licensors.
4.2 License Grant. Subject to compliance with these Terms, The Tradury grants you a limited, revocable, non-exclusive, non-transferable license to access and use IP Content strictly for personal, educational, and non-commercial purposes.
4.3 Restrictions. You shall not: (a) reproduce, distribute, or publicly display IP Content without prior written authorization, including by screenshotting or recording alerts, coaching sessions, or channel content for distribution outside the Service; (b) sell, sublicense, or commercially exploit IP Content; (c) reverse engineer, decompile, or modify any software associated with the Service; or (d) remove, obscure, or alter proprietary notices on any IP Content.
4.4 Reservation of Rights. All rights not expressly granted are reserved by The Tradury and its licensors.
5. Payment, Subscriptions, and Refunds (ROSCA-Compliant)
5.1 Current Fees. Access to the Service is free of charge as of the Effective Date. No payment information is collected while access remains free.
5.2 Future Paid Services. The Tradury reserves the right to introduce subscription fees, membership dues, or other charges. Clear and conspicuous disclosures of pricing, billing frequency, and cancellation terms will be presented before checkout.
5.3 Consent to Recurring Charges. Users must affirmatively provide express consent (e.g., by selecting an unchecked box) to recurring charges before payment is processed.
5.4 Renewals. Subscriptions automatically renew unless canceled. Renewal notices will be sent at least ten (10) days before renewal.
5.5 Confirmation. After purchase, a confirmation email will be sent summarizing key terms, cancellation methods, and customer support contact details.
5.6 Refunds. Except where required by law, all fees are non-refundable. Refunds will only be issued in cases of duplicate charges, fraudulent transactions, or statutory cooling-off rights.
5.7 Cancellation. Subscriptions may be canceled at any time through email or in-app controls. Cancellation will take effect at the end of the billing cycle.
5.8 No Continuity Guarantee. Because access is presently provided without charge, The Tradury makes no guarantee of uptime, availability, or continued delivery of any alert, session, channel, or feature.
6. Confidentiality
6.1 Obligation of Confidentiality. You agree to maintain the confidentiality of all non-public, proprietary, or sensitive information obtained through the Service, including, but not limited to, trade ideas, strategies, educational methodologies, coaching session content, or private community discussions.
6.2 Non-Disclosure. You shall not disclose, share, reproduce, or distribute confidential information in any form without prior written consent from The Tradury.
6.3 Survival. The confidentiality obligations in this Section survive termination of your membership or access to the Service and remain enforceable indefinitely.
7. Privacy and Data
7.1 Privacy Policy. The Tradury maintains a separate Privacy Policy governing the collection, use, retention, and disclosure of personal data. That policy is incorporated by reference into these Terms.
7.2 Collection of Data. The Tradury may collect and process personal data such as usernames, email addresses, payment details (if applicable), coaching intake information, and communication logs, solely to operate the Service.
7.3 Use of Data. Collected data will be used only for administering the Service, facilitating communication, and complying with applicable legal obligations.
7.4 Disclosure of Data. The Tradury will not sell or rent personal data. However, we may disclose data as required by law, regulation, subpoena, or court order.
7.5 Breach Notification. In the event of a security breach affecting personal data, The Tradury will notify affected users in accordance with applicable law, including N.J.S.A. 56:8-163.
7.6 Age Restrictions. The Service is not intended for individuals under 18 years of age. The Tradury does not knowingly collect data from children under 13, in compliance with COPPA.
7.7 Public Nature of Community Content. Content posted in community channels is visible to other members and is not private. You should not post account balances, account numbers, or other sensitive financial or personal information.
8. Disclaimer of Warranties
8.1 Service Provided “As Is.” The Service and all related content are provided strictly on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind.
8.2 No Representations. To the fullest extent permitted by law, The Tradury disclaims all express, implied, and statutory warranties, including, but not limited to: (a) implied warranties of merchantability, fitness for a particular purpose, and non-infringement; (b) warranties regarding the accuracy, timeliness, completeness, or reliability of any content; and (c) warranties that the Service will be uninterrupted, secure, error-free, or free from harmful components.
8.3 Delivery of Alerts. The Tradury does not warrant that any alert or notification will be delivered, delivered promptly, or actionable at any particular price. Market data referenced through the Service may be delayed, inaccurate, or incomplete.
8.4 User Responsibility. You acknowledge and agree that reliance on any content or information obtained through the Service is at your sole risk, and you assume full responsibility for any resulting loss or damages.
9. Limitation of Liability
9.1 Exclusion of Damages. To the maximum extent permitted by law, The Tradury, its owner, employees, contractors, moderators, agents, and affiliates shall not be liable for indirect, incidental, consequential, punitive, exemplary, or special damages, including, but not limited to, lost profits, lost opportunities, lost goodwill, or trading losses, even if advised of the possibility of such damages.
9.2 Liability Cap. In no event shall The Tradury’s total cumulative liability, whether in contract, tort, negligence, or otherwise, exceed the greater of: (a) the amount you paid, if any, for access to the Service during the twelve (12) months preceding the claim; or (b) zero dollars ($0) in the case of free access.
9.3 Jurisdictional Limitations. Some jurisdictions do not permit certain exclusions or limitations of liability. In such cases, these limitations apply to the maximum extent permitted by law. Nothing in these Terms limits liability for fraud, intentional misconduct, or any liability that cannot lawfully be limited.
10. Indemnification
10.1 User Indemnity. You agree to indemnify, defend, and hold harmless The Tradury, its owner, employees, contractors, moderators, agents, and affiliates from any and all claims, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use or misuse of the Service; (b) your breach of these Terms; (c) your trading or investment decisions; or (d) your violation of any applicable law or third-party rights.
10.2 Right to Control Defense. The Tradury reserves the right, at its discretion, to assume exclusive control over the defense and settlement of any matter subject to indemnification. You agree to cooperate fully in asserting any defenses.
10.3 Survival. Your indemnification obligations survive termination of these Terms and your use of the Service.
11. Investment Adviser and Performance Disclaimers
11.1 No Registration. The Tradury is not registered as an investment adviser with the U.S. Securities and Exchange Commission, the New Jersey Bureau of Securities, or any other state authority, and is not registered as a broker-dealer or as a commodity trading advisor with the Commodity Futures Trading Commission or the National Futures Association.
11.2 Impersonal Content. Alerts, commentary, watchlists, classes, and written publications distributed through the Service are impersonal, general in nature, of regular and general circulation to all members, and are not tailored to the individual circumstances of any member.
11.3 Coaching Is Instructional. Coaching sessions are provided as general instruction only, as described in Section 1.3. The Tradury does not evaluate the suitability of any investment for any member, does not review member portfolios or account holdings, and does not exercise discretion or control over any member account. No fee is charged for coaching as of the Effective Date.
11.4 No Personalized Advice. Nothing in the Service shall be construed as a solicitation, recommendation, or individualized investment, legal, tax, or financial advice. The Service does not account for your unique financial circumstances, goals, or risk tolerance.
11.5 No Fiduciary Relationship. Your use of the Service does not create a fiduciary, advisory, or brokerage relationship between you and The Tradury, and The Tradury owes you no duty of care, loyalty, suitability, or best execution.
11.6 Independent Responsibility. You are solely responsible for evaluating the appropriateness of any investment or strategy, and for all investment decisions you make. You are strongly encouraged to consult with licensed financial, legal, and tax professionals before engaging in investment activity.
11.7 Past Performance. Any references to past, historical, or hypothetical performance are provided solely for illustrative and educational purposes and do not guarantee future results.
11.8 Member Results. Any member results, screenshots, or testimonials shared within the Service reflect the experience of specific individuals, are not verified or audited by The Tradury unless expressly stated, do not account for commissions, fees, slippage, or taxes, and are not representative of typical results.
12. User Content and DMCA
12.1 License to The Tradury. By posting, submitting, or uploading any content within the Service, you grant The Tradury a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content within the Service for educational and community purposes.
12.2 Opinions, Not Advice. Content posted by moderators or members, including trade commentary, alerts, or strategies, represents personal opinion only and is not investment advice.
12.3 Hypothetical Performance. Content may reference simulated or hypothetical trading results, which have inherent limitations and may not reflect actual trading conditions.
12.4 DMCA Compliance. The Tradury designates [email protected] as its Digital Millennium Copyright Act (DMCA) agent. Takedown Requests: A valid DMCA takedown notice must identify the copyrighted work, specify the infringing material, include your contact information, and contain a good-faith statement under penalty of perjury. Counter-Notices: If you believe your content was removed in error, you may submit a counter-notice compliant with 17 U.S.C. § 512(g).
12.5 Community Standards. All participants must engage respectfully. The Tradury reserves the right to remove content or restrict participation for violations of these Terms or community guidelines.
13. Termination and Suspension
13.1 Right to Terminate. The Tradury reserves the right to suspend, restrict, or terminate any user’s access to the Service, in whole or in part, at its sole discretion, with or without cause, and without prior notice.
13.2 Effect of Termination. Upon termination, your license to access the Service immediately ceases. You must destroy or delete all copies of The Tradury materials in your possession.
13.3 No Refunds. Termination of access does not entitle you to any refund of fees, except where required by law.
13.4 Survival of Terms. Provisions relating to confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution shall survive termination.
14. Governing Law and Dispute Resolution
14.1 Governing Law. These Terms are governed by and construed under the laws of the State of New Jersey, without regard to conflicts of law principles.
14.2 Informal Resolution. Before initiating arbitration, you agree to contact The Tradury at [email protected] and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.
14.3 Binding Arbitration. Any disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules. The arbitration shall be conducted in Burlington County, New Jersey. By agreeing to these Terms, you and The Tradury are each giving up the right to sue in court and the right to a trial by jury. A neutral arbitrator, and not a judge or jury, will decide the dispute, and the arbitrator’s decision will be final and binding, subject to only very limited review.
14.4 Opt-Out Right. You may opt out of binding arbitration by emailing The Tradury at [email protected] within thirty (30) days of accepting these Terms. If you do not opt out, you waive the right to a court trial.
14.5 No Class or Collective Actions. You agree to resolve disputes on an individual basis. You waive the right to participate in any class, collective, consolidated, or representative action. The arbitrator may award individualized relief only.
14.6 Small Claims Exception. Either party may bring claims in small claims court for disputes that fall within that court’s jurisdiction.
14.7 Equitable Relief. Notwithstanding the foregoing, The Tradury may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
15. Purchases, Refunds, and Cancellations
15.1 Purchases. By purchasing any paid service offered by The Tradury, you agree to provide accurate and complete payment information and authorize The Tradury to charge your designated payment method for all applicable fees, including recurring charges, taxes, and other amounts due.
15.2 Refunds. Except where required by law, The Tradury does not provide refunds for subscription or membership fees. Non-use of the Service does not entitle you to a refund. Refunds may be issued only for duplicate charges, fraudulent transactions, or statutory rights.
15.3 Cancellations. You may cancel your subscription at any time. Cancellations submitted at least thirty (30) days before the next renewal date will prevent further charges. Cancellations submitted after that period will take effect at the end of the next billing cycle.
15.4 Effect of Cancellation. Upon cancellation, you will lose access to the Service and all related content. The Tradury is not responsible for maintaining or preserving your data following cancellation.
15.5 Confirmation of Cancellation. All cancellations will be confirmed by email or other reasonable means.
16. Modifications to Service
16.1 Right to Modify. The Tradury reserves the right to modify, suspend, or discontinue any aspect of the Service, including pricing, features, or content, at any time and without prior notice.
16.2 Notice of Changes. The Tradury may provide notice of material modifications through Discord announcements, email, or other reasonable means. Failure to review such notices does not relieve you of your responsibility to remain informed.
16.3 Continued Use. Your continued use of the Service after modifications are effective constitutes acceptance of those modifications. If you do not agree, your sole remedy is to discontinue use of the Service.
17. Data, Content, and Information Disclaimers
17.1 Informational Use Only. All data, content, and information available through the Service, including commentary, trade examples, and educational resources, are provided strictly for informational and educational purposes.
17.2 No Guarantee of Accuracy. The Tradury does not warrant the accuracy, completeness, timeliness, or usefulness of any content, whether created by The Tradury, moderators, or members.
17.3 Independent Verification. You are solely responsible for independently verifying any information before relying on it for financial or investment purposes.
17.4 Community Content. Forums, chatrooms, and group channels may contain user-generated content. The Tradury does not control, endorse, or guarantee such content and expressly disclaims responsibility for any statements, recommendations, or materials posted by members.
17.5 Hypothetical Results. Any discussion of trades, results, or performance may involve simulated or hypothetical outcomes that differ materially from actual results.
17.6 Third-Party Platforms. The Service operates on and alongside third-party platforms, including Discord. The Tradury does not control such platforms and is not liable for any outage, data incident, policy change, or account action taken by them. Your use of Discord is separately governed by Discord’s Terms of Service and Privacy Policy.
18. Activities of Personnel
18.1 Independent Trading. The Tradury personnel, including its owner, employees, contractors, and moderators, may engage in personal trading or investment activities that may or may not align with commentary or educational content provided in the Service, and may enter or exit positions before, at the same time as, or after any related commentary is published.
18.2 No Duty of Disclosure. The Tradury personnel are not required to disclose their personal trading activities, positions, or strategies, and are under no obligation to notify members when a position is closed or when a previously expressed view has changed.
18.3 No Manipulative Practices. The Tradury and its personnel shall not engage in manipulative, deceptive, or fraudulent trading practices, or in conduct intended to create a false or misleading appearance of market activity.
18.4 Third-Party Compensation. The Tradury may receive compensation from brokers, exchanges, platforms, software vendors, or other third parties whose products are referenced in the Service, including per-signup payments, revenue share, or complimentary access. Such relationships will be disclosed clearly and conspicuously where required by the FTC Endorsement Guides, 16 C.F.R. Part 255.
18.5 Affiliated Businesses. The owner of The Tradury operates other trading-related businesses. Content within the Service may reference or promote those businesses.
18.6 Waiver of Claims. By using the Service, you waive and release any claims arising from or related to the independent trading activities of The Tradury personnel.
19. Investments and Results
19.1 High Risk of Loss. Trading securities, options, futures, digital assets, foreign exchange, or other financial instruments involves substantial risk and is not suitable for all investors. You should not trade unless you can sustain the risk of losing your entire investment. In certain instruments, losses may exceed the amount originally invested.
19.2 No Guarantee. The Tradury makes no guarantee of profitability, success, or favorable outcomes.
19.3 Market Factors. Trading outcomes are influenced by multiple factors, including liquidity, volatility, execution delays, and unexpected market conditions.
19.4 Options. Options trading is speculative and carries a high degree of risk. Options may expire worthless, resulting in the total loss of premium paid, and uncovered option writing exposes the writer to theoretically unlimited loss. Before trading options you should review the Options Clearing Corporation disclosure document, Characteristics and Risks of Standardized Options.
19.5 Digital Assets. Cryptocurrency and other digital assets are highly volatile and may become worthless. Exchanges and custodians may fail, suspend withdrawals, be compromised, or become insolvent. Digital asset holdings are generally not insured by the FDIC or SIPC, and the regulatory classification of many digital assets remains unsettled.
19.6 Foreign Exchange. Retail foreign exchange trading involves significant leverage. Leverage magnifies both gains and losses, and small adverse movements may result in losses exceeding your deposited funds.
19.7 Low-Priced Securities. Penny stocks and micro-capitalization securities are frequently illiquid, thinly traded, subject to wide bid-ask spreads, and vulnerable to manipulation. You may be unable to exit a position at any price, and publicly available information regarding such issuers is often limited or unreliable.
19.8 Margin. Trading on margin may result in losses exceeding account equity. You may be subject to margin calls requiring immediate deposit of additional funds, and positions may be liquidated without your consent.
19.9 CFTC Rule 4.41 Disclaimer. Hypothetical or simulated performance results have inherent limitations and do not represent actual trading performance. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown. Hypothetical results are generally prepared with the benefit of hindsight and do not involve financial risk, and no hypothetical record can completely account for the impact of financial risk in actual trading.
20. General Terms
20.1 Force Majeure. The Tradury shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of government, platform outages (e.g., Discord), exchange outages, or changes in law.
20.2 Severability. If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall remain in full force.
20.3 Headings. Section titles and headings are for convenience only and have no legal effect.
20.4 Construction Against Drafter. These Terms shall not be construed against the drafter, regardless of which party authored them.
20.5 Entire Agreement. These Terms constitute the complete agreement between you and The Tradury regarding the Service and supersede all prior agreements or understandings.
20.6 Assignment. You may not assign or transfer your rights or obligations under these Terms without prior written consent. The Tradury may assign its rights and obligations freely.
20.7 No Waiver. The Tradury’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
20.8 Survival. Provisions relating to confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination of these Terms.
20.9 Export Controls and Sanctions. You represent that you are not located in, or affiliated with, any country or person subject to U.S. trade sanctions (including OFAC restrictions). You agree not to use the Service in violation of U.S. export control laws.
20.10 Event Media Release. By attending live or virtual events hosted by The Tradury, you consent to being photographed, recorded, or filmed, and grant The Tradury the right to use such media for educational or promotional purposes.
20.11 Notices. All legal notices to The Tradury shall be sent by email to [email protected]. Notices to you may be delivered via email, Discord announcements, or other reasonable means.
BY JOINING THE DISCORD SERVER OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, INCLUDING THE BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 14.
